Terms of Use

These Terms of Use ("Terms") govern your access to and use of the QuietDigest™ Chrome extension ("QuietDigest™"), provided by STANDARD PROCEDURE LLC ("Company," "we," "us," or "our").

By installing, accessing, or using QuietDigest™, you agree to these Terms.

1. License

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use QuietDigest™ for your personal use or internal business use.

2. Free Access; Voluntary Donations

QuietDigest™ is currently offered free of charge.

We may provide users with an opportunity to make voluntary donations or contributions to support ongoing development, maintenance, and improvement of QuietDigest™. Any such donation is optional, is not required to access the current version of QuietDigest™, and does not create any entitlement to special features, support, service levels, or future functionality unless we expressly state otherwise in writing.

Except where required by applicable law, donations and voluntary contributions are final and non-refundable.

We reserve the right, at any time and in our sole discretion, subject to applicable law, to modify, discontinue, monetize, restrict, or replace QuietDigest™ or any portion of it in the future.

3. Ownership

QuietDigest™, including its software, interface, branding, design, visual assets, text, and underlying intellectual property, is owned by STANDARD PROCEDURE LLC or its licensors and is protected by applicable intellectual property laws.

These Terms do not grant you any ownership rights in QuietDigest™.

4. Acceptable Use

You agree not to:

• copy, reproduce, distribute, sublicense, sell, rent, lease, or commercially exploit QuietDigest™ except as permitted by law
• use QuietDigest™ in violation of any law or regulation
• interfere with or disrupt QuietDigest™ or its operation
• attempt to bypass, disable, or defeat technical limitations or security measures
• use QuietDigest™ to process unlawful, infringing, harmful, deceptive, or malicious content

6. AI Functionality and Output Disclaimer

QuietDigest™ uses artificial intelligence to generate summaries and related output.

Because QuietDigest™ relies on AI, its outputs may contain errors, omissions, inaccuracies, misleading conclusions, outdated information, or formatting issues. Outputs may fail to capture important context, nuance, or meaning from the original material.

You are solely responsible for reviewing, evaluating, and verifying any output before relying on it or using it for any personal, academic, business, legal, medical, financial, compliance, or other purpose.

QuietDigest™ is provided for informational and productivity purposes only. It is not legal, medical, financial, compliance, academic, or other professional advice, and it is not a substitute for qualified human judgment or professional review.

7. Local Processing and Product Functionality

QuietDigest™ is designed to provide a privacy-first, local-first experience. Its core summarization functionality is intended to run locally on your device rather than through a remote cloud AI inference service.

However, certain supporting resources, updates, runtime files, or model assets may be downloaded from third-party infrastructure as needed for operation.

8. Third-Party Services

QuietDigest™ may depend on third-party software, browser features, hosting providers, file delivery infrastructure, or distribution platforms. We are not responsible for third-party services or their availability, security, content, or policies.

9. Disclaimer of Warranties

QuietDigest™ is provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, or accuracy.

To the maximum extent permitted by law, we do not warrant that QuietDigest™ will be uninterrupted, error-free, secure, or suitable for any particular purpose.

10. Limitation of Liability

To the maximum extent permitted by law, STANDARD PROCEDURE LLC and its officers, directors, employees, affiliates, contractors, and licensors will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of data, profits, revenue, goodwill, or business opportunity, arising out of or related to your use of QuietDigest™.

To the maximum extent permitted by law, our total liability for any claim arising out of or relating to QuietDigest™ will not exceed the greater of:

• the amount you paid for QuietDigest™ in the 12 months before the claim, or
• USD $50

Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

11. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless STANDARD PROCEDURE LLC and its affiliates, personnel, and licensors from and against claims, liabilities, damages, losses, judgments, costs, and expenses arising out of or related to:

• your misuse of QuietDigest™
• your violation of these Terms
• your violation of any law or the rights of another person or entity

12. Changes, Suspension, and Termination

We may update, modify, suspend, discontinue, or terminate QuietDigest™ or your access to it at any time, with or without notice, including if we believe continued access creates legal, security, operational, or policy risk.

13. Governing Law

These Terms are governed by the laws of the State of New York, without regard to conflict of law principles.

Any dispute arising out of or relating to these Terms or QuietDigest™ shall be brought in the state or federal courts located in Nassau, New York, and you consent to the jurisdiction of those courts, except where applicable law provides otherwise.

We may update these Terms from time to time. If we do, we will update the "Last updated" date above.
